These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“you,” “the User,” “Member,” or “Participant”) and Hoodwinkler Coaching Group LLC(“Company,” “we,” “us,” or “our”). These Terms govern access to and use of our websites, services, and membership platforms, including www.hoodwinkler.com (the “Site”) and the co-creation clubhouse hosted on Circle (the “Community”).

By accessing our Site or participating in any of our programs, you acknowledge and agree to be bound by these Terms, including our Privacy Policy and any additional terms specific to your membership. If you do not agree to these Terms, do not access or use our Site, Services, or Community.

1. Eligibility

You must be at least 18 years of age to use the Site or participate in the Community. By using our services, you represent and warrant that:

  • You are 18 years of age or older;
  • You have not been previously suspended or removed from our programs;
  • Your use of our services complies with all applicable laws and regulations.

2. Membership Groups & Applicability

To accommodate transitions between platforms, refund and cancellation policies vary by date of enrollment:

  • Kajabi Members: Individuals who enrolled prior to May 7, 2025, are governed by Sections 9 and 10(a) (Cancellation & Refund Policies – Kajabi).
  • Circle Members: Individuals who enrolled on or after May 7, 2025, are governed by Sections 9 and 10(b) (Cancellation & Refund Policies – Circle).

All other general terms herein apply to all users regardless of enrollment date or platform.

3. Account Registration & Responsibilities

Upon enrolling, you may be required to create an account. You agree to:

  • Provide accurate, complete, and updated information;
  • Maintain the confidentiality of your account credentials;
  • Be solely responsible for any and all activities conducted through your account;
  • Refrain from sharing your login credentials or account access with any third party (account sharing is strictly prohibited and grounds for immediate termination without refund).

You agree to notify us promptly of any unauthorized access or breach of your account.

4. Description of Services

Our Services include, but are not limited to:

  • Online Courses;
  • Digital Programs;
  • 1:1 Coaching;
  • Group Coaching;
  • Live Events;
  • The Co-Creation Clubhouse Community;
  • Webinars;
  • Mindshifts.

Services are described to the best of our ability. Results are not guaranteed. You are responsible for reviewing all program details before purchase. Participation is voluntary and at your own risk.

5. Intellectual Property

All content made available via the Site or Community—including but not limited to text, images, graphics, design, logos, video and audio recordings, course materials, written documents, and downloadable resources—is the intellectual property of Hoodwinkler Coaching Group LLC or its licensors.

You agree not to reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, or transmit any material from our Services without prior written consent.

6. User Content and Community Participation

By participating in the Community or submitting content (including posts, comments, video/audio during events, written exercises, or testimonials), you grant us and our service providers a non-exclusive, royalty-free, worldwide, perpetual license to use, reproduce, edit, and distribute such content for marketing, promotional, or archival purposes.

We will never publish your full name or identifying details without your written permission. You are responsible for managing your visibility in group events (e.g., disabling video, anonymizing profile name).

You agree not to upload, post, or transmit any content that:

  • Infringes on third-party intellectual property;
  • Is unlawful, abusive, defamatory, obscene, threatening, harassing, or otherwise objectionable;
  • Contains unauthorized personal information of others;
  • Violates any applicable law or regulation.

We reserve the right to remove content or suspend participation at our discretion.

7. Payment Terms

Accepted payment methods include:

  • Credit or Debit Card (via Stripe or similar processors);
  • Apple Pay / Google Pay;
  • Klarna and Afterpay (only available for one-time purchases; not applicable to subscriptions or installment plans).

By submitting your payment, you authorize us to charge the designated payment method for the total amount due, including any recurring charges if applicable. You agree to maintain valid payment information throughout your participation.

Failure to pay or a reversed payment may result in:

  • Immediate suspension of access;
  • Acceleration of all remaining balances due;
  • Debt collection processes, including referral to third-party agencies (for Circle members—see Section 10(b)).

8. Modifications, Access, and Termination

We reserve the right to modify, suspend, or discontinue any aspect of our Site or Services at any time, with or without notice. We may terminate your access to our Site or Services if you violate these Terms or applicable law. Upon termination, you will lose access to any services or content, and any outstanding payments remain due.

9. Cancellation Policy

9(a) Kajabi Members (Enrolled Before May 7, 2025):

  • Subscriptions (e.g., Clubhouse) automatically renew monthly.
  • Cancellation must be completed by through our customer service team by contacting sidekick@hoodwinkler.com at least 24 hours before your next billing cycle to avoid charges.
  • No partial refunds for unused access periods.
  • Cancellations are not retroactive and do not result in reimbursement for previously billed periods.

9(b) Circle Members (Enrolled On or After May 7, 2025):

  • All memberships are a non-cancellable six-month financial commitment totaling $199.98, paid in 6 monthly installments of $33.33.
  • This is not a subscription—it is a fixed payment plan with full access granted up front.
  • No cancellations for any reason, including dissatisfaction, personal circumstances, financial hardship, or missed content.
  • If a payment fails or is reversed:
    • You will be invoiced for the remaining balance;
    • If unpaid within 30 days, the balance may be forwarded to a third-party collections agency.

10. Refund Policy

10(a) Kajabi Members:

Refunds may be granted only for the following:

  • 1:1 Coaching: You must complete all scheduled sessions, implement all assigned action steps, and provide written, visual, or video evidence of implementation in under 10 months since your first coaching package payment. If no measurable results are achieved, a refund request may be submitted for review.
  • Courses (e.g., Financial Freedom Formula): Same terms as above, with proof of 90 days of consistent effort.

No refunds will be granted for:

  • Monthly co-creation clubhouse subscriptions;
  • Mindshifts, live events, or digital downloads.

We reserve sole discretion in evaluating whether adequate effort and evidence were submitted.

10(b) Circle Members:

Refunds are only available under the following conditions:

  • You completed all course materials in your account;
  • You consistently practiced mindshifts at least 3x/week for the full 6 months (evidence required);
  • You did not manifest a single item on your written manifestation list;
  • You submit a formal refund request with dated documentation including photos, videos, and journal entries.

Refunds will not be processed if documentation is incomplete or if the above criteria are not fully met. We reserve the sole right to determine whether refund terms were fulfilled.

11. Limitation of Liability

To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, punitive, or consequential damages arising from your use of our Site, Services, or participation in the Community.

This includes, but is not limited to, damages for loss of income, emotional distress, or outcomes from relying on educational materials or coaching guidance.

12. Indemnification

You agree to indemnify, defend, and hold harmless Hoodwinkler Coaching Group LLC and its officers, employees, contractors, affiliates, and service providers from any claims, liabilities, damages, and expenses—including reasonable legal fees—arising from your use of our Services, your violation of these Terms, or your infringement of any third-party rights.

13. Dispute Resolution & Arbitration

By agreeing to these Terms, you agree to resolve any dispute through binding individual arbitration under the JAMS rules in lieu of court proceedings. You waive any right to participate in class actions or jury trials.

Exceptions:

You may bring individual claims in small claims court or seek injunctive relief in appropriate circumstances.

Opt-Out:

You may opt out of arbitration by submitting a written notice within 30 days of agreeing to these Terms, sent to:

  • Kajabi Members: State of California;

14. Changes to These Terms

We may update these Terms periodically. Material changes will be communicated via email or through your membership dashboard. Continued use of our Services after notification constitutes acceptance of revised Terms.
